NTN Registration for a New Business: Sole Proprietor vs Company

Every formal business in Pakistan starts at the same counter: tax registration. How you approach it depends on structure.

Sole proprietor

The simplest route. You register the business on your personal NTN through IRIS, adding the business name, nature of activity and address. You will need your CNIC, an electricity bill or tenancy proof for the premises, and a letterhead in practice for banks. The business income lands in your personal return.

Partnership firm

The firm is registered with its partnership deed, and the firm gets its own NTN alongside the partners' personal ones. Banks will ask for the deed and the firm NTN to open the account.

Private limited company

Incorporate with SECP first. The company then registers for its own NTN, and directors need their personal NTNs as well. Corporate registration brings more compliance, and also more credibility with customers, lenders and, increasingly, FBR's phased mandates which often schedule corporate registrations first.

After the NTN

  • Sales tax registration if you supply taxable goods or services requiring it.
  • Provincial registration with SRB, PRA or the relevant authority if you provide services in that province.
  • WeBOC or PSW registration if you will import or export.

Choosing the structure

Start simple if you are testing an idea. Incorporate when contracts, liability or investors demand it. Converting later is paperwork, not punishment.
